Terms for using this site

These terms govern your use of jmrresources.com. They are the ordinary terms you would expect on a corporate site for a federal contractor: the material here is informational, nothing on it is a binding offer, and using the site means you accept what follows.

01 — Acceptance of these terms

By accessing or using jmrresources.com, you agree to these terms of use. If you are using the site on behalf of an organization, you confirm you have authority to bind that organization, and "you" means both you and it. If you do not agree, do not use the site.

 

"JMR," "we," and "us" mean JMR Resources LLC, a Maryland limited liability company, together with its subsidiaries Cassia Supply & Logistics and Advanced Tec.

 

02 — What this site is for

This site exists to describe JMR's capabilities, structure, certifications, and geographic coverage to federal contracting officers, prime contractors, suppliers, and commercial counterparties. It is a general description of what the company does. It is not a proposal, a quotation, a capability statement submitted under a solicitation, or a representation made in connection with any specific procurement.

 

Where a solicitation, contract, teaming agreement, or non-disclosure agreement exists between you and JMR, that document controls. Nothing on this site modifies, supplements, or interprets it.

 

03 — No offer, no bid, no commitment

Nothing on this site constitutes an offer to sell, an offer to buy, a bid, a quotation, a binding commitment, or an invitation to treat. Pricing, availability, lead times, delivery terms, and scope are established only in a signed written agreement, or in a proposal formally submitted in response to a solicitation.

 

Statements about the regions JMR serves, the commodities it supplies, or the services it performs describe general capability. They are not a warranty that JMR can perform a particular scope at a particular place and time. Any such determination is made on a specific opportunity, against specific requirements, in writing.

 

04 — No professional advice

Content on this site is general information. It is not legal, regulatory, tax, accounting, engineering, safety, or investment advice, and reading it does not create an advisory relationship of any kind between you and JMR.

 

Do not act on anything here without taking advice appropriate to your own circumstances. Regulatory content in particular — references to the Federal Acquisition Regulation, socioeconomic certifications, export control, or compliance obligations — is summarized for orientation and is not a substitute for the underlying authority or for counsel.

 

05 — Accuracy and capability claims

We work to keep this site accurate and current, but we do not warrant that it is. Registration data, certifications, codes, personnel, coverage, and capability descriptions change. Content may be out of date at the moment you read it.

 

Where accuracy matters to a decision you are making, verify it at the source. Entity registration, CAGE codes, socioeconomic status, and exclusion status are published and verifiable in the System for Award Management. Contract awards and past performance are published through federal reporting systems. Where a discrepancy exists between this site and the federal record, the federal record governs.

 

This site may contain forward-looking statements about intended capability, growth, or market position. Those statements reflect current expectations, involve risks and uncertainties, and are not guarantees. JMR undertakes no obligation to update them.

 

06 — Intellectual property

The site and its contents — text, graphics, layout, photography, the JMR Resources name and mark, the marks of Cassia Supply & Logistics and Advanced Tec, and the arrangement of all of it — are owned by JMR or licensed to it and are protected by United States and international intellectual property law.

 

You may view the site, print pages for your internal business use, and share links to it. You may not copy, reproduce, republish, frame, scrape, mirror, sell, or create derivative works from any part of the site without written permission, except as fair use permits.

 

Federal agencies and prime contractors may reproduce JMR's published capability materials internally for procurement evaluation purposes. That permission does not extend to public republication or to use of JMR's marks in a way that implies endorsement.

 

07 — Permitted and prohibited use

You agree not to:

 

Use the site for any unlawful purpose, or in violation of any applicable United States or foreign law.

Attempt to gain unauthorized access to any part of the site, its servers, or connected systems.

Introduce malware, conduct a denial-of-service attack, or otherwise interfere with the site's operation or security.

Use automated means to scrape, harvest, or index the site or the contact addresses on it, except by a search engine operating within the site's published rules.

Use contact information published on the site to send unsolicited commercial email or other bulk communications.

Misrepresent your identity or affiliation, or impersonate any JMR person or entity.

Use the site to solicit an act that would violate procurement integrity rules, export control law, or anti-corruption law.

 

08 — Material you send us

If you send JMR an inquiry, comment, suggestion, capability information, or any other material through this site or the addresses published on it, you should treat that material as non-confidential unless a signed non-disclosure agreement covers it. Do not send confidential, proprietary, procurement-sensitive, classified, controlled unclassified, or export-controlled information through this site.

 

If you send an unsolicited idea or suggestion, you grant JMR a non-exclusive, royalty-free, perpetual right to use it without obligation or compensation to you. This does not apply to information exchanged under a signed non-disclosure agreement, which is governed by that agreement.

 

You are responsible for the material you send, and you confirm you have the right to send it.

 

09 — Export control and sanctions

JMR conducts business in regions subject to United States export control and economic sanctions law, including regulations administered by the Bureau of Industry and Security, the Directorate of Defense Trade Controls, and the Office of Foreign Assets Control.

 

You may not access or use this site, or transact with JMR, if you are a person or entity subject to United States sanctions, located in a comprehensively sanctioned jurisdiction, or listed on a restricted party list including the Specially Designated Nationals list, the Entity List, or the Denied Persons list.

 

Information on this site is published for general commercial and procurement purposes and is not intended to include technical data controlled under the International Traffic in Arms Regulations or the Export Administration Regulations. Do not transmit controlled technical data to JMR through this site.

 

10 — Anti-corruption and business ethics

JMR conducts business in compliance with the Foreign Corrupt Practices Act, the procurement integrity provisions of federal law, the Anti-Kickback Act, and the gratuities and conflict of interest rules that apply to federal contractors.

 

JMR does not offer, promise, or provide anything of value to obtain or retain business improperly, and does not accept it. If anyone acting or claiming to act on JMR's behalf solicits or offers an improper payment, gift, or favor, report it to the general inbox below. Reports are taken seriously and JMR does not retaliate against a person who makes one in good faith.

 

11 — Third-party links and marks

This site may link to third-party sites, including government systems, industry sources, and partner organizations. JMR does not control those sites, does not endorse their content, and is not responsible for it. Following a link is at your own risk and subject to that site's own terms and privacy policy.

 

Third-party names and marks appearing on this site belong to their owners. Reference to a government agency, command, program, or organization is descriptive of the environments in which JMR works. It does not imply endorsement, sponsorship, or affiliation by the United States Government, the Department of Defense, or any agency, department, or command.

 

12 — Disclaimer of warranties

The site and everything on it are provided on an "as is" and "as available" basis. To the fullest extent permitted by law, JMR disclaims all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, title, non-infringement, accuracy, and any warranty arising from course of dealing or usage of trade.

 

JMR does not warrant that the site will be uninterrupted, timely, secure, or error free, that defects will be corrected, or that the site or its server is free of harmful components. Some jurisdictions do not allow the exclusion of certain warranties, so parts of this section may not apply to you.

 

13 — Limitation of liability

To the fullest extent permitted by law, JMR and its members, managers, officers, employees, and agents will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, lost business, lost data, or business interruption, arising out of or relating to your use of or inability to use this site, whether based in contract, tort, strict liability, or any other theory, and whether or not JMR was advised of the possibility.

 

JMR's total aggregate liability arising out of or relating to this site will not exceed one hundred United States dollars (US$100). Some jurisdictions do not allow these limitations, so parts of this section may not apply to you.

 

This section limits liability arising from the website. It does not limit liability arising under a contract between you and JMR, which is governed by that contract.

 

14 — Indemnification

You agree to indemnify, defend, and hold harmless JMR and its members, managers, officers, employees, and agents from any claim, demand, loss, liability, or expense, including reasonable attorneys' fees, arising out of your use of the site, your breach of these terms, or your violation of any law or the rights of a third party.

 

15 — Governing law and disputes

These terms and any dispute arising out of them or out of your use of the site are governed by the laws of the State of Maryland, without regard to its conflict of laws rules. The United Nations Convention on Contracts for the International Sale of Goods does not apply.

 

You agree that the state and federal courts located in Baltimore, Maryland have exclusive jurisdiction, and you consent to personal jurisdiction and venue there and waive any objection based on inconvenient forum.

 

Any claim arising out of these terms or your use of the site must be brought within one year after the claim arose, or it is permanently barred.

 

Nothing in this section affects the disputes process under any contract between JMR and the United States Government, which is governed by the Contract Disputes Act and the terms of that contract.

 

16 — General provisions

  • Entire agreement. These terms, together with the privacy policy, are the entire agreement between you and JMR concerning the site, and supersede any prior understanding on that subject.

  • Severability. If any provision is held unenforceable, it will be limited or removed to the minimum extent necessary and the remaining provisions stay in force.

  • No waiver. A failure to enforce any provision is not a waiver of it.

  • Assignment. You may not assign these terms. JMR may assign them in connection with a merger, acquisition, or sale of assets.

  • Changes. JMR may revise these terms at any time by posting an updated version. The effective date at the top of the page tells you when the current version took effect. Continuing to use the site after a change means you accept the revision.

  • No third-party beneficiaries. These terms do not create rights in any person who is not a party to them.
